Committees of the Board

In keeping with the Corporate Governance Framework for Public Bodies, it is recommended that each Board establishes an Audit Committee to oversee the organisation's internal control systems, as well as a Procurement Committee to ensure the transparency and integrity of procurement activities.

To further strengthen governance and improve oversight across key operational areas, the Board of FCJ has established seven (7) Committees.

Committee Responsibilities

Each Committee is tasked with specific responsibilities and is authorised to act on behalf of the Board or make recommendations as appropriate. Their roles and functions are clearly defined in their respective Terms of Reference, which guides their activities and supports the effective discharge of the Board's wider mandate.

The Board operates through seven (7) Committees, each focused on key operational and strategic areas. Committee membership is composed of Directors with relevant expertise who provide oversight and make recommendations to the full Board.

Decision-Making Process

Each Committee operates in accordance with a formal Terms of Reference, outlining its specific roles and responsibilities. The Committees serve as an advisory bodies to the Board, reviewing proposals and strategic plans submitted by Management.

The corporation's governance structure follows a clear decision-making process. Management prepares submissions, which are reviewed by the Managing Director and presented to the relevant Committee. Once approved, these recommendations are presented to the Board via ongoing Committee reports and meetings.

HR & Admin and IT Committee

The HR & Admin and IT Committee serves as a critical governance body responsible for overseeing human resources strategy, administrative operations, and information technology infrastructure across the Factories Corporation of Jamaica.

Finance Committee

The Finance Committee is responsible for managing financial planning, budgetary oversight, investment strategies, and ensuring fiscal responsibility across all operations.

Audit and Risk Management Committee

Ensuring financial integrity, compliance oversight, and comprehensive risk assessment to protect organizational assets and reputation.

Board Procurement Committee

The Board Procurement Committee oversees all procurement processes, vendor management activities, and cost optimization initiatives across FCJ operations.

Corporate Governance Committee

Establishing governance frameworks, policy development, and ensuring adherence to regulatory requirements and best practices.

Public Relations and Marketing Committee

Managing brand reputation, public communications, and marketing strategies to enhance FCJ's market presence and stakeholder engagement.

Projects and Operations Committee

Overseeing project execution, operational efficiency, and strategic initiatives to drive organizational growth and service delivery.
